1. Introduction

1.1 Welcome to SportsSync. These Terms and Conditions ("Terms") govern your access to and use of the SportsSync website at sportssync.asia, the SportsSync Lite mobile interface, and any related services, features, content or applications (collectively, the "Platform").

1.2 By accessing or using the Platform, registering an account, or submitting a Registration for a Tournament through the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1.3 We may amend these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

2. Information About Us

2.1 This Platform is registered and operated by Cherry Sports Network Sdn. Bhd. (Registration No.: 1669502-K), trading as "SportsSync" ("We", "Our" or "Us").

2.2 We are an Agent that acts on behalf of tournament organisers ("Organizers") of pickleball and other sports tournaments, leagues and events listed on the Platform (each, a "Tournament"). We also offer products and services that are incidental to these Tournaments.

3. Definitions

• "Tournament" means any pickleball or other sports tournament, league, ladder or competitive event listed on the Platform.
• "Registration" means any entry, application or purchase you submit through the Platform to participate in a Tournament, whether as an individual or as part of a team.
• "Organizer" has the meaning given in clause 2.2.
• "Content" means all text, images, video, audio, scores, statistics, brackets, schedules and other material made available through the Platform.
• "User", "you", "your" means any person who accesses or uses the Platform.

4. Eligibility and Account

4.1 Users under 18 must obtain consent from a parent or legal guardian before submitting a Registration or making any payment.

4.2 You agree to provide accurate, current and complete information during account creation and Registration, and to keep your account details up to date.

4.3 You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.

5. Use of the Platform

5.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms.

5.2 You must not:

• impersonate any person or misrepresent your affiliation with any person or organisation;
• post or transmit any content that is unlawful, defamatory, obscene, threatening, harassing, or that infringes any third party's rights;
• introduce viruses, malware or any harmful code;
• attempt to gain unauthorised access to any part of the Platform, other users' accounts, or the systems on which the Platform is hosted;
• use the Platform to scrape, harvest or otherwise collect data about other Users or Organizers;
• resell, sublicense or commercially exploit any part of the Platform without our prior written consent.

6. Relationship with Organizers

6.1 As stated in clause 2.2, we act as Agent on behalf of Organizers. When you submit a Registration for a Tournament, the contract for participation in that Tournament is formed between you and the Organizer, and not with us.

6.2 The Organizer is solely responsible for the operation, quality, safety and lawfulness of the Tournament, including draws, scheduling, officiating, prize distribution, venue arrangements and on-site conduct. Any complaints, disputes or claims relating to a Tournament should be raised with the relevant Organizer in the first instance.

6.3 We may, at our discretion, assist in resolving disputes between Users and Organizers, but we are not obliged to do so and do not act as adjudicator.

7. Tournament Registrations

7.1 Registrations are subject to availability and to the rules, eligibility criteria, rating requirements, age categories and other conditions set by the Organizer for the relevant Tournament.

7.2 We reserve the right (and the Organizer reserves the right) to refuse, cancel or reassign any Registration that does not meet the applicable criteria or that is suspected of being fraudulent or in breach of these Terms.

7.3 Tournament draws, brackets, schedules and start times are subject to change. Organizers may modify formats, categories, court allocations, prize structures or playing rules to accommodate operational requirements (such as weather, court availability or participant numbers).

7.4 You are responsible for arriving on time for your scheduled matches and for complying with the Organizer's check-in procedures. Forfeits and walkovers are awarded at the Organizer's discretion in accordance with the Tournament's rules.

7.5 Where you submit a Registration as part of a team or with a partner, you represent that you are authorised to register the other team member(s) and that they consent to having their personal data submitted to the Platform.

8. Payments

8.1 Payments for Registrations are processed through third-party payment gateways. By making a payment you also agree to the relevant gateway's terms.

8.2 All amounts are payable in Malaysian Ringgit (RM) unless otherwise stated. Processing fees disclosed at checkout are non-refundable except where required by law.

8.3 Where the Platform permits manual payment proof to be uploaded (such as bank transfer slips), we reserve the right to verify and reject any proof that appears altered, duplicated or otherwise invalid.

8.4 Receipts are issued electronically. You are responsible for retaining receipts for your own records.

9. Cancellations, Withdrawals and Refunds

9.1 The refund, withdrawal and substitution policy for any Registration is set by the relevant Organizer. The applicable policy will be made available to you on the relevant Tournament page at the time of Registration.

9.2 Where a refund is approved by the Organizer, we will process the refund on the Organizer's behalf through the original payment method. Refunds may take up to 14 business days to appear in your account, depending on your bank or card issuer.

9.3 We do not refund payment-gateway processing fees, transaction fees or administrative fees unless required by law.

9.4 If a Tournament is cancelled, postponed or materially modified by the Organizer, the Organizer's refund or rescheduling policy applies. We will communicate such changes as soon as practicable but are not liable for any consequential losses (such as travel, accommodation or training costs).

10. Live Streaming, Photography and Broadcast

10.1 Tournaments and matches may be photographed, recorded and live-streamed by us, the Organizer, or appointed third parties.

10.2 By participating in or attending any Tournament, you consent to your image, voice, performance and likeness being captured and used for promotional, broadcast, archival, training and editorial purposes connected to the Platform, the Organizer and their respective partners.

11. User-Generated Content

11.1 You may submit content to the Platform, including chat messages, comments, profile information, ratings, scores and media ("User Content").

11.2 You retain ownership of your User Content. You grant us a non-exclusive, royalty-free, worldwide, sublicensable licence to host, store, display, reproduce, adapt and distribute the User Content as necessary to operate, promote and improve the Platform.

11.3 You are solely responsible for your User Content and you represent that you have all rights necessary to grant the licence in clause 11.2.

11.4 We may, but are not obliged to, review, remove or refuse any User Content at our sole discretion.

12. Intellectual Property

12.1 The Platform, including all software, design, logos, layouts, text, graphics and compilations of Content, is the property of Cherry Sports Network Sdn. Bhd. or its licensors, and is protected by intellectual property laws.

12.2 "SportsSync", "SportSync" and associated logos are trademarks of Cherry Sports Network Sdn. Bhd. You may not use them without our prior written consent.

12.3 Organizer names, marks and logos displayed on the Platform are the property of their respective owners and are used with permission.

12.4 Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, transmit, display, publish, license or create derivative works from any Content on the Platform.

13. Disclaimers

13.1 The Platform and all Content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted operation.

13.2 We do not warrant that the Platform will be error-free, secure, or available at any particular time.

13.3 We do not warrant the quality, safety, suitability, lawfulness or outcome of any Tournament, Organizer or service provided by an Organizer.

14. Limitation of Liability

14.1 To the maximum extent permitted by law, our total aggregate liability to you under or in connection with these Terms and your use of the Platform, whether in contract, tort (including negligence) or otherwise, is limited to the total fees you have paid to us (excluding amounts collected on behalf of Organizers) in the twelve (12) months immediately preceding the event giving rise to the claim.

14.2 In no event shall we be liable for any indirect, incidental, special, consequential or exemplary damages, including loss of profits, loss of goodwill, loss of data, business interruption, or any damages arising out of your use of or inability to use the Platform or your participation in any Tournament.

14.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the laws of Malaysia.

15. Assumption of Risk

Pickleball and other sports involve an inherent risk of physical injury. By submitting a Registration and participating in any Tournament, you acknowledge and accept those risks. You are responsible for ensuring that you are medically fit to participate, that you carry any insurance you require, and that you comply with the Organizer's safety rules. We are not liable for any injury, illness or loss arising from your participation.

16. Indemnity

You agree to indemnify, defend and hold harmless Cherry Sports Network Sdn. Bhd., its directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Platform; (b) your breach of these Terms; (c) your User Content; (d) your participation in any Tournament; or (e) your violation of any law or third-party right.

17. Suspension and Termination

17.1 We may suspend or terminate your access to all or part of the Platform at any time, with or without notice, if we reasonably believe that you have breached these Terms or applicable law, or for any other operational reason.

17.2 You may close your account at any time by contacting us at [email protected]. Closure does not relieve you of any obligations accrued before the closure date.

18. Changes to These Terms

18.1 We may amend these Terms from time to time. The revised Terms will be posted on the Platform with an updated effective date.

18.2 Where changes are material, we will use reasonable efforts to notify registered Users by email or in-app notice.

19. Third-Party Links and Services

The Platform may contain links to, or be integrated with, third-party websites and services (for example, payment gateways, rating systems, mapping services and social media). Those services are governed by their own terms, and we are not responsible for their content or practices.

20. General

20.1 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

20.2 Our failure to enforce any right or provision is not a waiver of that right or provision.

20.3 You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms freely.

20.4 These Terms constitute the entire agreement between you and us regarding the Platform and supersede any prior agreements.

21. Governing Law and Jurisdiction

21.1 These Terms are governed by and construed in accordance with the laws of Malaysia.

21.2 You agree to submit to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
